These Terms of Use (“Terms”) constitute a legally binding agreement between you and NumenSec, LLC, a Texas limited liability company, together with its subsidiaries and affiliates (“NumenSec,” “we,” “us,” or “our”). These Terms govern your access to and use of any websites, portals, platforms, applications, or digital properties operated by or on behalf of NumenSec that link to these Terms (collectively, the “Site”), including all content, text, graphics, data, logos, videos, documentation, downloads, and other materials made available through the Site (“Materials”), as well as any services, tools, or offerings made available through the Site unless subject to separate written terms (“Offerings”).

BY ACCESSING OR USING THE SITE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE.
 

Changes to These Terms

NumenSec may update or modify these Terms at any time by posting revised Terms on the Site. Changes are effective immediately upon posting. Your continued use of the Site constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Site.
 

Eligibility and Authority

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

The Site is not intended for use by children under 13 years of age.
 

Permitted Use and License

Subject to your compliance with these Terms, NumenSec grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and Materials solely for your internal, non-commercial informational use.

Except as expressly permitted, you may not:

• Copy, reproduce, modify, distribute, or create derivative works of the Site or Materials

• Reverse engineer, decompile, or attempt to extract source code

• Use the Site to build or benchmark competing products or services

• Remove or alter proprietary notices

• Use automated tools (scrapers, bots, crawlers) to access the Site

Any unauthorized use immediately terminates this license.
 

Services and Other Agreements

Certain services, consulting engagements, assessments, software tools, or deliverables offered by NumenSec may be governed by a separate written agreement, such as a Master Services Agreement (MSA), Statement of Work (SOW), license agreement, or subscription terms (“Other Agreement”).

Where an Other Agreement applies, it governs the applicable services and supersedes these Terms in the event of a conflict.
 

Account Access and Security

Some areas of the Site may require registration or credentials. You are responsible for safeguarding your login credentials and all activities conducted under your account. You agree to notify NumenSec promptly of any unauthorized use or security incident affecting your account.

NumenSec reserves the right to suspend or terminate access at any time.
 

Privacy

Your use of the Site is subject to the NumenSec Privacy Policy, which describes how personal information is collected, used, and protected. Information submitted through public areas of the Site is not considered confidential.
 

Information Security and SOC 2 Alignment

NumenSec maintains an information security program designed to protect the confidentiality, integrity, and availability of information, aligned with recognized industry best practices and frameworks, including the SOC 2 Trust Services Criteria.

Security controls may include administrative, technical, and physical safeguards; access controls; encryption; monitoring and logging; incident response procedures; and vendor risk management practices.

Nothing in these Terms constitutes a guarantee that security incidents will not occur.
 

Enterprise and Regulated Use

Certain Offerings may be intended for enterprise customers or regulated environments. Unless expressly agreed in writing:

• NumenSec does not act as a data controller

• Compliance obligations remain the responsibility of the customer

• Any SOC 2 reports, compliance artifacts, or audit support are provided only under a separate written agreement

No statements on the Site constitute a binding certification or assurance.
 

Confidentiality

Confidential or sensitive information exchanged in connection with consulting services or enterprise engagements is governed exclusively by an applicable NDA, MSA, or SOW. Information submitted through the public Site is not confidential.
 

Submissions and Feedback

Any comments, feedback, suggestions, or materials you submit (“Submissions”) are non-confidential and non-proprietary unless otherwise agreed in writing.

You grant NumenSec a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute such Submissions for any lawful business purpose.
 

Prohibited Activities

You agree not to:

• Violate applicable laws or regulations

• Introduce malware, exploits, or malicious code

• Misrepresent affiliation with NumenSec

• Interfere with Site operations or security

• Post false, misleading, defamatory, or unlawful content

NumenSec may remove content, suspend access, or report violations to authorities.
 

Third-Party Links

The Site may contain links to third-party websites not controlled by NumenSec. NumenSec is not responsible for third-party content, privacy practices, or terms. Access is at your own risk.
 

Disclaimers

THE SITE, MATERIALS, AND OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NUMENSEC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
 

Limitation of Liability

To the maximum extent permitted by law, NumenSec shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or profits.

NumenSec’s total liability shall not exceed the greater of $1,000 or the amounts paid by you to NumenSec for use of the Site.
 

Indemnification

You agree to indemnify and hold harmless NumenSec, its officers, employees, contractors, and affiliates from any claims, damages, losses, and expenses arising from your use of the Site, violation of these Terms, or infringement of third-party rights.
 

Export Compliance

You agree to comply with all applicable U.S. export control laws and represent that you are not located in or subject to restricted jurisdictions.
 

Governing Law and Venue (Texas)

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute shall be brought exclusively in the state or federal courts located within Texas, and you consent to personal jurisdiction and venue therein.
 

Severability and Entire Agreement

If any provision is found unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement regarding use of the Site and supersede all prior understandings.
